1. About KRAVVN Web Studio

KRAVVN Web Studio ("we," "us," or "our") is a digital agency based in Lagos, Nigeria, providing web design, web development, e-commerce solutions, branding, SEO, and related digital services to clients in Nigeria and internationally.

2. Services Agreement

When you engage our services, you agree to the following:

• All project details, scope, timeline, and pricing will be agreed upon in writing before work commences.
• Any changes to the agreed scope of work may result in additional charges and timeline adjustments.
• We reserve the right to decline any project that conflicts with our values or policies.
• Project timelines are estimates and may be affected by client responsiveness and feedback delays.

3. Payment Terms

Our standard payment structure is as follows:

• 50% deposit is required before work commences on any project.
• 50% balance is due upon project completion, before final files or live deployment.
• For ongoing services (maintenance, SEO), payment is due monthly in advance.
• Invoices unpaid after 14 days may incur a 5% late payment fee per month.
• All prices are quoted in Nigerian Naira (NGN) unless otherwise agreed.

4. Client Responsibilities

To ensure successful project delivery, clients are responsible for:

• Providing all required content (text, images, logos) within the agreed timeline.
• Providing timely feedback (within 3-5 business days) on submitted work.
• Ensuring they have rights to all content and materials provided to us.
• Keeping login credentials and account information secure and confidential.
• Promptly notifying us of any changes to contact information or business details.

5. Intellectual Property

Upon receipt of full payment:

• All custom design work created for your project becomes your property.
• We retain the right to showcase the work in our portfolio and marketing materials.
• Any third-party assets (stock images, fonts, plugins) remain subject to their original licenses.
• We retain ownership of our proprietary tools, frameworks, and methodologies.

6. Revisions & Changes

• Each project includes a specified number of revision rounds as agreed in your proposal.
• Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
• Major scope changes will require a new agreement and may affect pricing and timelines.

7. Warranties & Guarantees

We warrant that:

• All work will be completed to a professional standard.
• Websites will be tested across major browsers and devices before delivery.
• We provide a 30-day bug-fix warranty after project delivery at no additional cost.

We do not guarantee specific search engine rankings or traffic numbers, as these depend on many factors outside our control.

8. Limitation of Liability

KRAVVN Web Studio shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid for the specific project in question.

9. Confidentiality

We treat all client information, business data, and project details as strictly confidential. We will not disclose your information to third parties without your express written consent, except where required by law.

10. Termination

• Either party may terminate the agreement with 14 days written notice.
• Upon termination, you will be invoiced for all work completed to date.
• The deposit is non-refundable if work has commenced.
• We reserve the right to terminate immediately in cases of non-payment or breach of these terms.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through negotiation first, and if unresolved, through arbitration in Lagos, Nigeria.
